Introduction

These Terms of Service ("Terms") govern your access to and use of the Starseed software analytics service and any associated tools, APIs, documentation, data, and account credentials (collectively the "Service") provided by P.D.R VC Limited Liability Company ("Company").

By signing up for an account, launching the Service, or using any portion of the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the Service.

The Service includes all software, websites, apps, analytics, data, application programming interfaces (APIs), documentation, sample code, libraries, tooling, algorithms, artificial intelligence models, updates, upgrades, related Service, and any other products and Service provided by P.D.R VC as part of Starseed website and platform.

You must read, agree with, and accept all the terms and conditions contained in these Terms and our Privacy Policy before you may become a subscriber and access or use the Service. If these Terms are considered an offer, acceptance is expressly limited to its terms.

If you are entering into these Terms on behalf of a company, organization, or another legal entity, you represent that you have the authority to bind such entity to these Terms. References to "you" and "your" shall refer to both the individual user and the entity on whose behalf they are accessing the Service.

Please read these Terms carefully as they govern your use of the Starseed software analytics service (“Service”) provided by P.D.R VC LLC  ("Company").

Service

a)       Monthly Reporting Pricing: This service package is designed exclusively for personal use by individuals. It provides a worldwide summary of product and ingredient trends monthly.

b)      Individuals Pricing: This service package is designed exclusively for personal use by individuals. It provides worldwide product trends, upward and downward product trends on a daily, weekly, and monthly basis, ingredient trends on a daily, weekly, and monthly basis, and standard support from Monday to Friday, 9 am to 4 pm PST.

c)       Small Businesses Pricing: This service package is designed exclusively for small businesses with under 20 employees. It provides worldwide product trends, upward and downward product trends on a daily, weekly, and monthly basis, ingredient trends on a daily, weekly, and monthly basis, geographics and demographics information and bookmark function.

 

Free Trial and Subscription

d)      After the free trial period ends, you will be automatically enrolled in the selected service package and charged the monthly subscription fee.

e)      You have the freedom to cancel your subscription at any time via the Service dashboard. Refunds will not be provided for any partial month of service remaining after the cancellation date. You will lose access to the platform immediately after cancellation.

Use of Service

You agree to use our Service solely for lawful purposes and in compliance with all applicable laws and regulations. You shall not engage in any activity that disrupts or interferes with the functioning of our Service or networks. You are solely responsible for any content you upload, share, or transmit through our Service and for complying with all relevant copyright and intellectual property laws.

Payment and Billing

The company uses Stripe to process payments for Service subscriptions. By starting a paid subscription, you agree to Stripe's terms and conditions.

You must provide accurate billing details including legal name, address, phone number, and payment information. You agree to promptly update any changes to your billing details.

Subscriptions auto-renew monthly until canceled. By providing payment information, you authorize recurring charges to your payment method at the then-current subscription rate.

You can cancel auto-renewal at any time through your account settings. However, you will not receive a refund for any remaining subscription term. Non-payment may result in account suspension or termination.

Stripe, Inc. processes and stores all payment transaction records and details. Company does not store complete payment information.

You agree to contact Company support regarding any billing inquiries or disputes. We will attempt in good faith to resolve them promptly. If we cannot reach a resolution, you agree to submit disputes to binding arbitration or small claims court.

By providing payment information, you authorize Stripe to charge your method for subscription fees. This constitutes acceptance of these billing policies and Stripe's terms. All subscription fees are non-refundable unless otherwise noted.

Intellectual Property

The Service contains copyrighted material, trademarks, and other proprietary information, including but not limited to text, software, photos, videos, graphics, music, and sound. The entire contents of The Service are protected by copyright as a collective work/compilation under U.S. copyright laws.

The Service owns and retains all proprietary rights in the Service, trademarks, logos, brand names, content, and other intellectual property displayed or available on The Service. You may not use, modify, republish, download, post, display, transmit, distribute, copy, or otherwise exploit any Site content or materials without prior written permission.

You may access and display Site content for your personal, educational, or noncommercial use provided you do not modify the materials or use them in a manner that suggests an association or affiliation with The Service. Any other use of Site content or materials without express authorization is strictly prohibited.

By sharing or submitting any content on or through The Service, you grant The Service a perpetual, worldwide, non-exclusive, royalty-free license to use, copy, modify, transmit, display, and distribute the content for any purpose. You agree you are fully responsible for all content you submit.

The Service respects the intellectual property rights of others. If you believe your copyright has been infringed, please notify our copyright agent as described in our Copyright Policy. We reserve the right to terminate accounts repeat infringers.

Third Party Service

The Service may integrate, interact with, or enable access to third party Service and websites, such as social media Service, payment processors, and advertising networks ("Third Party Service").

Company does not control and is not responsible or liable for any Third Party Service. Your use of any Third Party Service is governed by the terms, conditions, disclaimers, and policies provided by the third party providers of those Service.

Company makes no guarantees, representations, endorsements, or warranties regarding the fitness, functionality, legality, performance, or quality of Third Party Service. Company shall not be responsible for any harms, injuries, or losses caused by your use of any Third Party Service.

You are solely responsible for exercising appropriate caution and discretion when using Third Party Service and for reviewing the terms, policies, and practices of third parties before choosing to engage with their Service. Use of any Third Party Service is done at your own risk and at your sole discretion.

If you choose to grant the Service access to your accounts with Third Party Service, you do so voluntarily and at your sole risk. Company does not assume liability for any assets stored or managed by Third Party Service or loss of access to Third Party Service.

Your use of the Service may be subject to separate terms with applicable Third Party Service. You are responsible for complying with any such additional terms when accessing Third Party Service in conjunction with the Service.

Disclaimer of Warranty

the Company provides the Service on an "as is" and "as available" basis without warranties of any kind, either express or implied.

the Company specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement.

the Company makes no warranties that the Service will meet your requirements or that it will be uninterrupted, timely, secure, error-free, or virus-free.

the Company does not warrant that any errors or defects in the Service will be corrected, or that the content or information provided is accurate, complete, or current.

You understand and agree that your use of the Service is at your own discretion and risk. No advice or information obtained from the Company or the Service creates any warranty not expressly stated in these Terms.

You are solely responsible for ensuring the Service meets your specific requirements.

To the extent permitted by law, the Company disclaims any liability for harm resulting from your use of the Service, reliance on information obtained through the Service, or the actions of other users.

Limitation of Liability

Under no circumstances shall the Company or its affiliates be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your access or use of or inability to access or use the Service or any content.

the Company total liability to you for any damages arising from your use of the Service shall not exceed the amount paid by you for the Service in the month preceding the event giving rise to the liability.

In no event shall the Company or any of its suppliers be liable for any damages whatsoever, including but not limited to indirect, special, punitive, incidental, or consequential damages, loss of use, loss of profits, loss of data, or damages resulting from lost business, arising out of or in connection with the Service or content, whether based on breach of contract, tort (including negligence), or any other legal theory, even if the Company has been advised of the possibility of such damages.

Additionally, the Company shall not be liable for damages relating to any reliance on, use of, or inability to use the content and Service provided; delays or disruptions in the Service; viruses or disabling features obtained from the Service; actions taken in reliance on content; unauthorized access to or alteration of data; statements of any third party; or any other matter relating to the Service or its content.

the Company’s total cumulative liability in connection with these Terms shall not exceed the greater of: (i) the total amounts paid by you to access the Service in the month preceding the claim; or (ii) $500.

Certain limitations may not apply if prohibited by law. In such cases, the Company liability is limited to the fullest possible extent permitted by applicable law.

You agree these limitations are reasonable based on the affordable price of the Service. The limitations apply even if remedies fail their essential purpose.

Cancellation Policy

You may cancel your paid Service subscription at any time through your account settings. Upon cancellation, you will immediately lose access to the Service. No partial month refunds will be provided.

The Company reserves the right to cancel or suspend subscriptions if you violate these Terms, fail to make timely payments, or engage in illegal or prohibited use of the Service.

If your subscription is cancelled or suspended due to non-payment, Terms violations, or illegal activities, you are not entitled to refunds for lost access to the paid Service.

The Company may automatically cancel unpaid subscriptions after up to four failed billing attempts.

To cancel, select "Cancel subscription" in your account dashboard. Cancellation is effective immediately, and you will be charged for the full final month.

If the Company determines you signed up for an individual plan but used it for business purposes, we reserve the right to immediately cancel your subscription.

You agree to this cancellation and refund policy. You understand cancellations result in immediate loss of access without prorated refunds. Please contact us with any questions.

Accuracy of Product Information

The Service may display third party product information including names, descriptions, images, and pricing provided by advertisers, sellers, and users.

The Company does not guarantee the accuracy, completeness, legality, or currency of any product information displayed.

The Company has no liability related to incorrect, inaccurate, misleading, unlawful, or outdated product details, specifications, features, components, pricing, warnings, or other information displayed on the Service.

Under no circumstances will The Company be liable for any damages, losses, costs, or other liability arising from reliance on potentially inaccurate or misleading product information displayed on the Service. This includes direct, indirect, incidental, consequential, or punitive damages.

You assume full responsibility and waive any claims against The Company related to reliance on or purchase decisions resulting from any product information displayed on the Service.

You are solely responsible for verifying any product information before making purchases based on details displayed on the Service. Use product information at your own risk.

Display of Third Party Brands or Products

               

The Service may display third party company, product, and brand names, trademarks, logos, images, and other intellectual property in user generated content or through automated algorithms.

The appearance of third party trademarks does not indicate any relationship, affiliation, sponsorship, or endorsement between The Company and those parties.

The Company does not control or guarantee the accuracy, integrity, quality, or legality of third party trademarks displayed by users or algorithms.

Your interactions with any third party brands displayed are solely between you and that third party. The Company is not liable for any issues arising from use of or reliance on third party trademarks displayed on the Service.

You waive any claims against The Company related to third party trademarks appearing on the Service or your engagement with third parties connected through the Service.

Under no circumstances will The Company be liable for damages arising from mention or display of third party trademarks or brand elements on the Service. We do not control third party brands referenced by users or algorithms.

Use of Third Party Brands

Our algorithms may reference third party company names, product names, trademarks, and other brand elements on the Service.

Such use should not be construed as an endorsement, affiliation, sponsorship, or other certification by The Company of those third party brands.

The Company is not affiliated with and does not control or verify any third party brands mentioned on the Service. No relationship should be inferred from the appearance of third party trademarks on the Service.

The Company disclaims any liability related to the use of third party brands, products, services, trademarks, or other intellectual property referenced on the Service by users or algorithms.

You waive any claims against The Company related to third party trademarks appearing on the Service or your engagement with third parties connected through the Service.

Under no circumstances will The Company be liable for damages arising from mention or display of third party trademarks or brand elements on the Service. We do not control third party brands referenced by users or algorithms.

Use of Images and Visual Content

The Service may display images, videos, graphics, search results, website excerpts, and other visual content provided by users, advertisers, or obtained from public sources.

The Company does not own, control, verify, or guarantee any visual content displayed on the Service. This includes compliance with copyright, trademark, privacy, publicity, and other intellectual property laws.

Under no circumstances will The Company be liable for any infringement, violation, or misuse of trademarks, copyrights, or other rights related to any visual content on the Service, regardless of the source.

You access and view visual content on the Service at your own discretion and risk. The Company takes no responsibility for takedown or removal of unauthorized, infringing, objectionable, or inaccurate visual content uploaded by users or obtained from public sources.

You waive any claims against The Company related to visual content displayed on the Service. Use or reliance on any visual content is done solely at your own risk.

Reliance on Recommendations

The Service may provide product, service, and business recommendations via user content or automated algorithms. These recommendations are informational only.

The Company does not guarantee the accuracy, completeness, usefulness, effectiveness, or quality of any recommendations provided by users or algorithms.

You assume full responsibility for any reliance on or use of recommendations made available through the Service. This includes assessing risks and potential outcomes.

The Company is not liable for any damages caused by your use of or reliance on any recommendations, whether from user content or algorithms. You rely on such recommendations at your sole discretion and risk.

You waive and release The Company from any claims related to your use of or reliance upon recommendations provided by users or algorithms on the Service.

Account Terms

To use the Service, you must register for an account by providing complete and accurate information. You agree to update your information if it changes.

 

Each account requires a unique email address. You are responsible for account security, including maintaining the confidentiality of your login credentials and restricting access by third parties.

 

The Company reserves the right to suspend, deactivate, or terminate your account if you violate these Terms, fail to pay fees, or engage in illegal or prohibited conduct through the Service.

 

Account transfers require advance written consent. Account sharing, splitting, swapping or unauthorized joint usage is strictly prohibited.

 

The Company may require you to change your username if we deem it obscene, offensive, trademarked, misleading, or otherwise objectionable. Usernames may be displayed publicly.

Modification and Termination

We reserve the right to modify, suspend, or terminate any part of our Service or this Agreement at any time without prior notice.

In case of termination, you will no longer have access to the Service, and any remaining subscription fees will not be refunded.

 

General Provisions

f)        Severability

If any provision of these Terms is unlawful, void, or unenforceable, it shall be deemed severable and will not affect the validity or enforceability of the remaining provisions.

g)       Waivers

The failure to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision by the Company.

h)      Governing Law

These Terms shall be governed solely by the laws of the State of Delaware, without regard to conflict of law rules. You agree any action related to these Terms must be brought exclusively in the state or federal courts located in Delaware.

i)        Entire Agreement

These Terms constitute the entire agreement between you and the Company related to your use of the Service. They supersede any prior agreements.

j)        Changes to Terms

the Company reserves the right to modify these Terms at any time in its discretion by posting the revised Terms on the Service website. Your continued use of the Service after revisions are posted signifies your acceptance of the revised Terms.
